By Laws for the Glorious Society of the WormHole

Article I

NAME

A) The name of this organization shall be “THE GLORIOUS SOCIETY OF THE WORMHOLE”, herein referred to as THE WORMHOLE or WORMHOLE.

Article II

PURPOSE

A) The purpose of The Wormhole is:

1) To promote the interests of amateur radio and those scientific and educational pursuits that advance the purposes of the Amateur Radio Service.

2) To further fellowship among radio amateurs.

3) To assist and cooperate with authorized agencies in any emergency of local, state or national scope.

Article III

MEMBERSHIP

SECTION I. MEMBERSHIP

A) Any person interested in amateur radio is eligible for membership.

B) There are three classes of membership in The Wormhole

1) A member who is a licensed radio amateur is a Regular member.

2) A non-licensed member is an Associate member.

3) Members of one family may chose to all be in one Family membership.

SECTION II. APPLICATION

A) Application for membership with payment of first years dues may be submitted to the membership at any time.

B) The applicant for membership will be voted on at a regular meeting. A favorable majority vote will denote acceptance.

SECTION III. MEMBERSHIP DUES

A) Dues shall be determined by the executive board.

B) Membership dues shall be valid for the calendar year January 1, to December 31.

C) Any member whose dues are not paid by January 31 of the calendar year shall cease to be a member.

D) Former members in good standing shall be reinstated upon payment of delinquent dues.

SECTION IV VOTING

A) Regular members shall have voting privileges.

B) Associate members shall not have voting privileges with the exception that if The Wormhole is dissolved the method of disposal of the club assets shall be by a majority vote of all the dues paying club members at the time of dissolution.

C) Family memberships will have one vote for the family.

SECTION V IMPEACHMENT

A) If any member, including any officer, is formally accused of misconduct, those charges will be brought to the Board of Directors. If the accused is a member of the Board of Directors he/she will not have a vote in this matter. The accused may or may not present his/her case before the meeting of the Board of Directors at the discretion of the Board of Directors.

B) If the Board of Directors decides the charges have merit the said member will be subject to expulsion by a simple majority vote of the general membership at the next regular meeting or a special meeting if called by the President or Vice President if the President is the accused.

C) The accused member shall have the right to present their defense of the charges at the meeting of the general membership.

ARTICLE IV

MEETINGS

SECTION I REGULAR MEETINGS

A. The regular meetings of The Wormhole shall be held the first Saturday of each month, unless changed by the President, with reasonable notice.

B. A quorum for a regular meeting will be five (5) general members or twenty-five (25) percent of the membership whichever is greater.

C. It will take a simple majority of present general members to carry any vote.

D. Any item of business may be raised, discussed and voted upon by the general members without a meeting of the Board of Directors.

SECTION II SPECIAL MEETINGS

A. Special meetings may be called by the President or any two officers.

B. The membership shall be informed of the special meeting no less than seven (7) days prior to the meeting.

C. The annual meeting shall be in December of each year. If there is no quorum during the December meeting the annual meeting will be the first meeting that does meet the quorum requirement.

ARTICLE V

GOVERNMENT

SECTION I. THE EXECUTIVE BOARD

A) Members shall be licensed amateurs.

B) Shall consist of the President, Vice President, Secretary/Treasurer, Club’s Station/Repeater Trustee, and three board members, of which two (2) will be elected by the general Membership at the Annual Meeting.

C) Activities shall be reported at every regular club meeting.

D) The board shall conduct necessary business of the organization.

E) The Board shall modify, as needed, and approve all budgets presented.

SECTION II. VACANCY

A) Any vacancy occurring in the Executive Board within six (6) months after the election shall be filled by a quorum vote of the general membership. All others shall be filled by a majority vote of the Executive Board.

B) Resignation from any office or the Executive Board will be in writing.

C) Any vacancy of any office or board member shall be declared vacant by the President and Secretary immediately upon notification.

SECTION III. MEETINGS

A) The Executive Board shall have a minimum of four (4) meetings annually.

B) Meetings of the Executive Board shall BE HELD:

1. At the call of the chairman.

2. At the request of three (3) or more members of the board.

SECTION IV. QUORUM

A) A quorum of the Executive Board shall be constituted by four (4) members.

SECTION V. DUTIES OF THE PRESIDENT

A) Be the Executive officer of The Wormhole.

B) Preside at all regular or special meeting.

C) Maintain order and dispatch business as may come before him.

D) Be aware of all budgets and expenditures.

E) Automatically become Chairman of the Executive Board.

F) Be authorized to spend up to fifty ( 50 ) dollars to cover unbudgeted expenses per month. Unbudgeted expenses greater than fifty ( 50 ) dollars shall be approved by the Executive Board.

G) Appoint all committee chairmen necessary to the club.

H) Appoint station manager/trustee.

SECTION VI. DUTIES OF THE VICE PRESIDENT

A) Preside at all meetings in the absence of the President.

B) Be general chairman of the annual club Hamfest and Tailgate Events and regular meeting programs.

C) Make arrangements for Club meeting program, when needed.

SECTION VII. DUTIES OF THE SECRETARY

A) Keep a record of all meetings of the membership and Executive Board.

B) Conduct all necessary correspondence.

C) Assist the President in implementing the motions, orders, and resolutions of The Wormhole.

D) Do all things necessary to increase the membership, activities and services of The Wormhole as authorized to do so by the President and/or Executive Board.

E) With the President, check annually all legal papers for validation of their accuracy.

SECTION VIII. DUTIES OF THE TREASURER

A) Receive all monies for The Wormhole.

B) Bank the monies as directed by the Executive Board.

C) Make authorized disbursements.

D) Give a treasurers report at each regular Wormhole meeting and Executive Board meeting.

E) Receive applications and monies from new members.

F) Issue membership cards.

G) Keep a system of accounts and preserve all receipts and vouchers for payment made.

H) Keep a current list of Wormhole members, with name, addresses, call and other pertinent information.

I) Complete a roster of Wormhole members with current dues, as of January 31 and have available March 1.

SECTION IX. DUTIES OF THE CLUB STATION/REPEATER TRUSTEE

A) Station/Repeater Trustee shall assume full responsibility for the maintenance and proper operation of the club radio/repeater station and attend to all matters pertaining to said station subject to the jurisdiction of the Federal Communications Commission.

B) Attend all executive board meetings and/or have a written report of interest to the club members.

ARTICLE VI

NOMINATIONS AND ELECTIONS

SECTION I. – NOMINATIONS

A) The nominating committee shall consist of (3) members, one of which shall be the President and two (2) members appointed by the President.

B) The nominating committee shall report the candidates at the November meeting.

C) Nominations shall be received from the floor at the November meeting.

D) Nominations shall be for candidates for President, Vice President, Secretary, Treasurer, and two (2) Board members at large. One Board member will be appointed by the president.

SECTION II. INSTALLATION

A) Officers and board members elected at December meeting shall be installed before the close of the meeting.

ARTICLE VII

PARLIAMENTARY AUTHORITY

A) Roberts Parliamentary writings shall govern The Wormhole in all cases not covered these By-Laws.

ARTICLE VIII

EFFECTIVENESS

A) These By-Laws shall become effective after approval by a majority vote of a quorum of the members.
